Info Edge, led by Sanjeev Bikhchandani, is acquiring the remaining 45.36% stake in upskilling platform Coding Ninjas for ₹39.9 crore in an all-cash deal, according to a filing with the exchanges. The board approved the purchase of 74,741 shares from the startup's founders at ₹5,340.23 apiece. After the transaction, Info Edge will hold 100% ownership of Coding Ninjas through its subsidiary Startup Investments (Holding) Ltd.
The deal will be executed in multiple tranches, with 25% (₹9.98 crore) paid upon closing the share price agreement and the remaining 75% (₹29.9 crore) disbursed in three equal installments between 2027 and 2029. Coding Ninjas’ cofounders will remain employed by Info Edge and receive salary and performance incentives during their tenure. The acquisition is subject to customary conditions and expected to complete within 45 days.
Info Edge highlighted that the acquisition will create business synergies between its classified platform Naukri and Coding Ninjas. Naukri plans to leverage the startup to develop mini-AI courses for its users, aiming to drive growth and improve profitability. This move aligns with Info Edge’s strategy to deepen its presence in the upskilling and edtech sector, complementing its existing portfolio.
Following completion, Coding Ninjas will become a wholly-owned subsidiary of Info Edge. The transaction underscores Info Edge’s commitment to expanding its footprint in the education technology space, with the first tranche payment scheduled at closing and subsequent payments spread over the next three years.
